How It Works

Spark Invest makes it possible for investors to back early-stage, promising companies. We also help companies access the capital that they need to grow and create greater value. It's as simple as that. The Spark Invest team identifies candidate companies, performs an initial review and analysis, and then offers to highly vetted companies that we personally select to become members of the Spark Invest platform, giving these companies the opportunity to solicit our network of intelligent retail investors. We also give intelligent retail investors the opportunity to match their predictive skills with companies that may someday yield higher returns on their investment than traditional investing platforms are able to offer.

Investing in early-stage companies is highly speculative and could result in the complete loss of the investment. In addition, you will not be able to resell securities acquired through VenShare Capital™️ Investing for a period of one year, subject to certain limited exceptions, including sales back to the issuer, to accredited investors, to family members under certain circumstances (i.e. death or divorce). However, even after the restricted period, there is no guarantee that there will be a market for the securities. Explore opportunities, carefully review offering documents, make your own market assessment, and determine the level of risk that is best for you.

Startups and growth companies apply to raise capital funds through Spark Invest. If a company meets our criteria (a compelling value proposition, a scalable revenue model, and a strong, experienced, dedicated management team), we'll list that company on Spark Invest for our members to view the deal and communicate with management. Members of the Spark Invest community view active deals with no cost to register. Once they've had a chance to review pertinent details, conduct due diligence and communicate with the management team, investors can choose to make an investment. Investors' funds are placed in escrow until the offering’s target amount is met. Once the minimum target amount is met, the funds are released to the company. 

Spark Invest members can browse investment opportunities in vetted companies that have been selected by Spark Invest. Members can learn about the listed companies, watch their explainer video, receive business plans and other documents from them, and communicate with the company's management team. Once an investor finds an investment that is appropriate for his or her portfolio and risk profile, the investor commits to the investment and funds are placed in escrow with a third-party escrow agent. Once the minimum target amount is met, the funds are released from escrow to the company.

Spark Invest's fees for the services it provides in connection with the offerings consists of 5% of the gross proceeds (total amount raised) of each offering payable in cash and 5% of securities offered in such offering. All fees are payable at closing upon a successful funding by the issuer (not the investor). In addition, there is a $199 application and due diligence fee and a $199 per month listing fee for issuers. We do not charge investors any fees for accessing the portal or using any of our services. Fees for each offering are disclosed in the respective offering materials.

Anyone can be part of the Spark Invest community. Joining our community is free and there is no cost to browse investment opportunities. Members are in complete control of all investment decisions; there is never an obligation to invest.

The first step for companies looking to raise money through the Spark Invest community is to apply online. Once the Spark Invest team reviews the applications and selects potential deals, we reach out to the companies and conduct principal background checks before completing an initial review and some analysis. Upon successful completion of the review phase, we work with management to get ready to post the offering on the portal. Companies who are currently raising funds through approved Angel Networks may be able to use existing offering documents to expedite the application and review process.
